Welcome you (hereinafter referred to as "User" or "you") and Duoyoupin AI Cloud Mall to jointly sign this agreement titled "Duoyoupin AI Cloud Mall Terms of Service" (hereinafter referred to as "this Agreement"). 1.3 When you fill in the information as prompted on the registration page, read and agree to this Agreement, and complete the entire registration process, or enter and use Duoyoupin AI Cloud Mall services in any way, it means that you have fully read, understood, and accepted the terms and conditions of this Agreement. If you do not agree to this Agreement or any of its terms, you should immediately stop the registration process and stop using Duoyoupin AI Cloud Mall.
2.1 Duoyoupin AI Cloud Mall: Refers to the B2B online information publishing and trading platform operated by Guangzhou Yingguang Network Technology Co., Ltd.
2.2 Duoyoupin AI Cloud Mall Services: Refers to various services (hereinafter referred to as "Services") provided to you through the platform built by Duoyoupin AI Cloud Mall via the Internet, including various forms such as websites, other client applications, and other emerging service forms.
2.3 Duoyoupin AI Cloud Mall Rules: Refers to all rules, interpretations, announcements, and other content published on the Duoyoupin AI Cloud Mall platform, including various rules, implementation rules, product process descriptions, and announcements published through various channels.
3.1 Contracting Parties
This Agreement is entered into by and between you and Duoyoupin AI Cloud Mall, and this Agreement is binding on both you and Duoyoupin AI Cloud Mall.
3.2 Supplemental Agreements
Due to the rapid development of the Internet, the terms set forth in this Agreement between you and Duoyoupin AI Cloud Mall cannot fully list and cover all rights and obligations between you and Duoyoupin AI Cloud Mall, and existing agreements cannot guarantee full compliance with future development needs. Therefore, the Duoyoupin AI Cloud Mall Privacy Policy and Duoyoupin AI Cloud Mall Rules are supplemental agreements to this Agreement, inseparable from this Agreement and having the same legal effect. If you use Duoyoupin AI Cloud Mall services, it is deemed that you agree to the above supplemental agreements.
4.1.1 You confirm that when you complete the registration process or actually use the services in other ways permitted by Duoyoupin AI Cloud Mall, you shall have the civil capacity corresponding to your actions as stipulated by the laws of the People's Republic of China. If you do not have the corresponding civil capacity, you and your guardian shall bear the corresponding consequences in accordance with the law, and Duoyoupin AI Cloud Mall has the right to terminate the provision of services to you and cancel your account. If you register on behalf of a company or other legal entity, you declare and warrant that you have the appropriate agency authority; otherwise, you shall bear all legal liability.
4.1.2 In addition, you must ensure that you are not a target of trade restrictions, sanctions, or other legal or regulatory restrictions imposed by any country, international organization, or region. Otherwise, Duoyoupin AI Cloud Mall has the right to suspend the provision of services to you. If you have any objection, you may submit a written appeal to Duoyoupin AI Cloud Mall with corresponding supporting documents. Duoyoupin AI Cloud Mall will decide whether to continue providing services to you based on your written explanation and supporting documents.
4.2.1 After you fill in the information as prompted on the registration page, read and agree to this Agreement, and complete the entire registration process, or after you fill in the information as prompted on the activation page, read and agree to this Agreement, and complete the entire activation process, or when you actually use Duoyoupin AI Cloud Mall services in other ways permitted by Duoyoupin AI Cloud Mall, you are bound by this Agreement. You may use the email address, mobile phone number, or other methods permitted by Duoyoupin AI Cloud Mall that you provided or confirmed as your login method to access Duoyoupin AI Cloud Mall.
4.2.2 Since your account is associated with your information and Duoyoupin AI Cloud Mall's business information, your account is for your personal use only. Without the consent of Duoyoupin AI Cloud Mall, your direct or indirect authorization for a third party to use your account or obtain information under your account will be deemed invalid. If Duoyoupin AI Cloud Mall determines, based on the usage behavior of your account, that the use of your account may jeopardize the security of your account and/or the security of Duoyoupin AI Cloud Mall's information, Duoyoupin AI Cloud Mall may refuse to provide corresponding services or terminate this Agreement.
Since user accounts are associated with user credit information, your account may not be transferred in any way; otherwise, Duoyoupin AI Cloud Mall has the right to hold you liable for breach of contract, and all corresponding responsibilities arising therefrom shall be borne by you.
To enable you to better use the various services of Duoyoupin AI Cloud Mall and protect the security of your account, Duoyoupin AI Cloud Mall may require you to complete real-name authentication in accordance with national laws and regulations.
4.5.1 When completing the registration or activation process, you shall provide accurate and complete information as prompted on the corresponding pages of Duoyoupin AI Cloud Mall and update it in a timely manner to keep it true, timely, complete, and accurate. Where national laws and regulations expressly require Duoyoupin AI Cloud Mall as a platform service provider to verify user information (such as sellers), Duoyoupin AI Cloud Mall will from time to time inspect and verify your information in accordance with the law. You shall cooperate by providing the latest, true, complete, and valid information.
4.5.2 If Duoyoupin AI Cloud Mall is unable to contact you using the last information you provided, if you fail to provide information in a timely manner as required by Duoyoupin AI Cloud Mall, if the information you provided is clearly untrue, or if administrative or judicial authorities verify that the information you provided is invalid, you shall bear all losses and adverse consequences caused to yourself, others, and Duoyoupin AI Cloud Mall. Duoyoupin AI Cloud Mall may send you inquiries or requests for rectification, require you to undergo re-authentication, and may suspend or terminate the provision of some or all of its services to you. Except as expressly provided by law, Duoyoupin AI Cloud Mall shall not be liable for this.
4.5.3 The login name and nickname you set for your account must not violate national laws, regulations, or the corresponding administrative provisions of Duoyoupin AI Cloud Mall Rules. Otherwise, Duoyoupin AI Cloud Mall may reclaim your login name and nickname and take corresponding actions in accordance with Duoyoupin AI Cloud Mall Rules.
4.6.1 Your account is set up and maintained by you. Duoyoupin AI Cloud Mall will never proactively request your account password. Therefore, we strongly recommend that you keep your account safe and ensure that you log out at the end of each online session and leave Duoyoupin AI Cloud Mall using the correct steps. Duoyoupin AI Cloud Mall shall not be liable for any losses or consequences resulting from your active disclosure of your account or from attacks, fraud, or other actions against you. You should seek recourse against the infringer through judicial, administrative, or other remedies.
4.6.2 Except for faults attributable to Duoyoupin AI Cloud Mall, you shall be responsible for all actions and results under your account (including but not limited to online signing of various agreements, publishing information, inquiries/quotations, purchasing products, ordering services, and disclosing information).
4.6.3 If you discover any unauthorized use of your account to log in to Duoyoupin AI Cloud Mall or other circumstances that may lead to theft or loss of your account, we recommend that you immediately notify Duoyoupin AI Cloud Mall. You understand that Duoyoupin AI Cloud Mall needs a reasonable amount of time to take any action in response to your request, and the actions taken by Duoyoupin AI Cloud Mall at your request may not be able to avoid or prevent the occurrence or expansion of harm. Except for statutory fault attributable to Duoyoupin AI Cloud Mall, Duoyoupin AI Cloud Mall shall not be liable.
You have the right to enjoy store management, product and/or service quotations, sales and promotion, product and/or service inquiries, purchases and evaluations, transaction dispute resolution, and other services on Duoyoupin AI Cloud Mall. There are many services provided by Duoyoupin AI Cloud Mall; you can browse Duoyoupin AI Cloud Mall for more details.
5.1.1 By creating a store on Duoyoupin AI Cloud Mall, you may publish various product and/or service information and enter into transactions with other users.
5.1.2 Due to the inseparability of the store and the account, the transfer of a store is essentially the transfer of the store operator's account. Like the account, the store may not be transferred in any way.
5.1.3 If you temporarily close your store by delisting all products, you shall continue to bear transaction guarantee responsibilities, including delivery, disputes, and complaint handling, for transactions concluded before the closure of your store.
5.2.1 Through the services provided by Duoyoupin AI Cloud Mall, you have the right to publish product and/or service information, make quotations, solicit and find transaction counterparts, and conclude transactions on Duoyoupin AI Cloud Mall in forms such as text and images.
5.2.2 You shall ensure that you have the corresponding rights to the products and/or services you publish on Duoyoupin AI Cloud Mall. You shall not sell the following products or provide the following services on Duoyoupin AI Cloud Mall:
(a) Products or services prohibited or restricted by the state;
(b) Products or services that infringe upon others' intellectual property rights or other legitimate rights and interests;
(c) Products or services that Duoyoupin AI Cloud Mall Rules, announcements, notices, or separate agreements with you have clearly indicated are not suitable for sale and/or provision on Duoyoupin AI Cloud Mall.
5.2.3 You shall abide by the principle of good faith, ensure that the product and/or service information you publish is true and consistent with the products/services you actually sell/provide, and earnestly fulfill your transaction commitments during the transaction process. You shall maintain a healthy market competition order on Duoyoupin AI Cloud Mall, shall not disparage or defame competitors, shall not interfere with any transactions or activities conducted on Duoyoupin AI Cloud Mall, shall not improperly enhance or attempt to enhance your credibility in any unfair way, and shall not interfere with or attempt to interfere with the normal operation of Duoyoupin AI Cloud Mall in any way.
5.2.4 You have the right to determine the promotion and marketing methods for products and/or services at your own discretion, and Duoyoupin AI Cloud Mall also provides you with various forms of promotional tools. Your promotional activities shall comply with relevant national laws, regulations, and Duoyoupin AI Cloud Mall requirements.
5.2.5 Paying taxes in accordance with the law is the due obligation of every citizen and enterprise. You shall timely and fully declare and pay taxes to the tax authorities for the portion of sales revenue exceeding the statutory exemption threshold.
5.3.1 When you inquire about or purchase products and/or services on Duoyoupin AI Cloud Mall, please be sure to carefully confirm important matters such as the product name, price, quantity, model, specifications, dimensions, or service time, content, restrictions, and verify your contact address, phone number, consignee, and other information when placing an order. If the consignee you fill in is not yourself, the legal consequences of the consignee's actions and representations shall be borne by you.
5.3.2 You fully understand and agree that Duoyoupin AI Cloud Mall is a professional B2B e-commerce platform for the industrial chain, not a consumer-facing retail marketplace. Therefore, your inquiries and purchases should be based on genuine trade needs, and you shall not engage in malicious inquiries, purchases, malicious rights protection, or other actions that disrupt the normal transaction order of Duoyoupin AI Cloud Mall. For the purpose of maintaining the transaction order and security of Duoyoupin AI Cloud Mall, Duoyoupin AI Cloud Mall may proactively close related transaction orders and take other actions upon discovering the above circumstances.
5.3.3 You have the right to evaluate the products and/or services of other users with whom you have entered into transactions in the evaluation system provided by Duoyoupin AI Cloud Mall. All your evaluation activities shall comply with the relevant provisions of Duoyoupin AI Cloud Mall Rules. Evaluation content shall be objective and truthful, and shall not contain any obscene, vulgar, pornographic, advertising, or other prohibited information as stipulated by laws, regulations, and this Agreement. You shall not improperly help others improve their credit or use evaluation rights to threaten or blackmail other users. Duoyoupin AI Cloud Mall may delete or block evaluation information generated from the above actions in accordance with Duoyoupin AI Cloud Mall Rules.
5.3.4 If the products and/or services you inquire about or purchase on Duoyoupin AI Cloud Mall are goods and/or services for export, you shall comply with the following:
5.3.4.1 You promise to comply with all applicable import and export control, trade restriction, and economic sanction laws and regulations. If you violate the above commitments, Duoyoupin AI Cloud Mall may suspend the provision of relevant services upon discovering such circumstances.
5.3.4.2 You must ensure that you are not a target of trade restrictions, economic sanctions, or other legal or regulatory restrictions imposed by any country, region, or international organization, nor have you directly or indirectly provided funds, goods, or services to such targets. Otherwise, you shall stop using Duoyoupin AI Cloud Mall services. You understand that violation of the above requirements may prevent you from normally registering and using Duoyoupin AI Cloud Mall services.
5.3.5 For goods, services, software, and technology obtained through the Duoyoupin AI Cloud Mall platform, you promise to comply with all applicable import and export control, trade restriction, and economic sanction laws and regulations, including sanctions resolutions, laws, and regulations formulated and enforced by the United Nations Security Council, China, the United States, and any other countries. For the purpose of maintaining transaction order and security, if you violate the above commitments, Duoyoupin AI Cloud Mall may terminate services, proactively close related transaction orders, and take account disposition measures upon discovering such circumstances.
5.4.1 You may enter into transactions with other users through the transaction methods supported by Duoyoupin AI Cloud Mall and comply with the corresponding transaction and payment rules. You understand and agree that Duoyoupin AI Cloud Mall only serves as a platform for users to find transaction counterparts, negotiate product and service transactions, and obtain various trade-related services. Duoyoupin AI Cloud Mall does not participate in transactions between users and is not involved in the legal relationships and disputes arising from transactions between users.
5.4.2 If you have a dispute with other users during transactions on Duoyoupin AI Cloud Mall, either party or any other user may choose one of the following ways to resolve it:
(a) Negotiate independently with the opposing party;
(b) File a complaint with the relevant administrative authorities;
(c) Submit to arbitration in accordance with an arbitration agreement (if any) reached with the opposing party;
(d) File a lawsuit with the people's court.
6.1 Duoyoupin AI Cloud Mall has invested substantial costs in providing services to you. Except for fee-based services explicitly stated by Duoyoupin AI Cloud Mall, the services currently provided to you are free of charge. If Duoyoupin AI Cloud Mall charges reasonable fees in the future, it will take reasonable means and notify you in advance through statutory procedures and the valid notification methods specified in this Agreement, ensuring that you have sufficient right to choose.
6.2 All taxes and duties arising from your transactions and paid services obtained from Duoyoupin AI Cloud Mall, as well as related hardware, software, communication, network services, and other expenses, shall be borne by you.
7.1 Duoyoupin AI Cloud Mall performs its basic guarantee obligations in accordance with the law. However, for the following circumstances caused by force majeure or other third-party factors that result in performance obstacles, defects, delays, or changes in performance, Duoyoupin AI Cloud Mall shall not bear corresponding liability for breach of contract:
(a) Force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial and administrative orders;
(b) Public service factors such as power supply failures, communication network failures, or third-party factors;
(c) Factors such as routine or emergency equipment and system maintenance, equipment and system failures, network information and data security, provided that Duoyoupin AI Cloud Mall has exercised good faith management.
7.2 Duoyoupin AI Cloud Mall only provides you with the services agreed in this Agreement. You understand that information on Duoyoupin AI Cloud Mall is published by users and may involve risks and defects. Duoyoupin AI Cloud Mall will, through establishing inspection and supervision systems in accordance with the law, make every effort to protect your legitimate rights and interests and ensure a good experience on Duoyoupin AI Cloud Mall. At the same time, given that Duoyoupin AI Cloud Mall has massive information and the characteristic of separation of information from physical objects in an information network environment, as an online trading platform, Duoyoupin AI Cloud Mall cannot review all product and/or service information one by one, nor can it review the quality, safety, legality, authenticity, and accuracy of the products and/or services involved in transactions. You should make judgments with caution. If you discover harmful information or behavior, please contact and report it to Duoyoupin AI Cloud Mall in a timely manner. Duoyoupin AI Cloud Mall will handle harmful information and behavior.
7.3 You understand and agree that in the dispute mediation service, Duoyoupin AI Cloud Mall's customer service staff are not professionals and can only judge the evidence submitted by users based on common knowledge. Duoyoupin AI Cloud Mall does not guarantee that the dispute mediation decision will necessarily meet your expectations. Except for statutory fault or gross negligence, Duoyoupin AI Cloud Mall shall not be liable for dispute mediation decisions.
Duoyoupin AI Cloud Mall attaches great importance to the protection of users' personal information (i.e., information that can identify a user independently or in combination with other information). When you use the services provided by Duoyoupin AI Cloud Mall, you understand and agree that Duoyoupin AI Cloud Mall will process your personal information in accordance with the published privacy policy to the extent necessary for account registration, transaction fulfillment, payment, delivery, after-sales, dispute resolution, security assurance, and legal and regulatory requirements. Duoyoupin AI Cloud Mall hopes to clearly explain to you how we process your personal information through the privacy policy. Therefore, we recommend that you read the privacy policy in its entirety to better protect your privacy rights. For additional functions, non-essential personal information, sensitive personal information, providing personal information to other personal information processors, or changing the purpose, method, and type of processing, Duoyoupin AI Cloud Mall will separately inform you or obtain your separate consent in accordance with laws, regulations, and the privacy policy.
8.2.1 When you, as a merchant or other user who may have access to user personal information, may only access and use user personal information obtained through Duoyoupin AI Cloud Mall for necessary purposes such as order processing, transaction fulfillment, delivery, invoicing, after-sales, customer service, dispute resolution, and legal and regulatory requirements.
8.2.2 Without authorization from users or Duoyoupin AI Cloud Mall in accordance with the law, you shall not sell, resell, exchange, rent, lend, publicly disclose user personal information, or use user personal information for marketing promotion, traffic generation, database building, profiling, or provision to third parties beyond the scope of platform transaction fulfillment.
8.2.3 You shall take necessary confidentiality and security protection measures, restrict internal access scope, and properly store personal information such as orders, delivery information, and contact information. If you discover that user personal information has been leaked, illegally obtained, or misused, you shall immediately stop the relevant actions and notify Duoyoupin AI Cloud Mall.
8.2.4 If you violate the provisions of this clause, Duoyoupin AI Cloud Mall has the right to take measures such as deleting or blocking information, restricting functions, delisting products, freezing or closing accounts, terminating services, and claiming compensation for losses according to the circumstances. If suspected of illegal or criminal activities, Duoyoupin AI Cloud Mall has the right to report or refer to the competent authorities in accordance with the law.
8.3.1 You declare and warrant that you have the corresponding and legitimate rights to the information you publish. Otherwise, Duoyoupin AI Cloud Mall may delete or block the information you publish in accordance with the law or this Agreement.
8.3.2 You shall ensure that the information you publish does not contain the following content:
(a) Content that violates the prohibitive provisions of national laws and regulations;
(b) Content related to political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror, or incitement to crime;
(c) Fraudulent, false, inaccurate, or misleading content;
(d) Content that infringes upon others' intellectual property rights or involves third-party trade secrets or other proprietary rights;
(e) Content that insults, defames, intimidates, involves others' privacy, or infringes upon others' legitimate rights and interests;
(f) Viruses, Trojan horses, web crawlers, and other malicious software or program codes that may destroy, tamper with, delete, affect the normal operation of any Duoyoupin AI Cloud Mall system, or obtain, capture, resell, disclose, or illegally provide data or personal information of Duoyoupin AI Cloud Mall and other users without authorization;
(g) Other content that violates social public interests or public morals, or that is not suitable for publication on Duoyoupin AI Cloud Mall according to relevant agreements or rules.
8.3.3 For non-personal information such as text, images, videos, and audio that you provide, publish, and form during your use of Duoyoupin AI Cloud Mall, your uploading and publishing actions shall not result in the transfer of intellectual property rights, portrait rights, or other rights. Unless Duoyoupin AI Cloud Mall expressly states otherwise, to the extent permitted by law and within the legally protected period, you grant Duoyoupin AI Cloud Mall and its affiliates a non-exclusive, non-territorially restricted license to use (including but not limited to storage, use, reproduction, revision, editing, publication, display, translation, distribution of your non-personal information, or creation of derivative works, and incorporation of the above information into other works in known or future developed forms, media, or technologies) and the right to sublicense to third parties, as well as the right to file lawsuits and take legal actions against third-party infringements in its own name.
Any of the following circumstances shall be deemed as your breach of contract:
If you violate the provisions of Article 8.2 of this Agreement regarding restrictions on use of user personal information, confidentiality obligations, or prohibition of resale of personal information, it shall constitute a serious breach.
(a) Violation of relevant laws and regulations when using Duoyoupin AI Cloud Mall services;
(b) Violation of this Agreement or its supplemental agreements (i.e., Article 3.2 of this Agreement).
To adapt to the rapid development of e-commerce and meet the needs of massive users for efficient and high-quality services, you understand and agree that Duoyoupin AI Cloud Mall may stipulate the procedures and standards for determining breach in Duoyoupin AI Cloud Mall Rules. For example, Duoyoupin AI Cloud Mall may determine whether you have breached the contract based on the relationship between your user data and massive user data; you have the obligation to provide sufficient evidence and reasonable explanation for abnormal data; otherwise, you will be deemed to have breached the contract.
9.2.1 If the information you publish on Duoyoupin AI Cloud Mall constitutes a breach, Duoyoupin AI Cloud Mall may immediately delete or block the corresponding information or delist, delete, or supervise your products in accordance with the corresponding rules.
9.2.2 If your actions on Duoyoupin AI Cloud Mall, or actions not on Duoyoupin AI Cloud Mall but that affect Duoyoupin AI Cloud Mall and its users, constitute a breach, Duoyoupin AI Cloud Mall may take measures such as restricting your participation in marketing activities, suspending some or all of your services, and deducting liquidated damages in accordance with the corresponding rules. If your actions constitute a fundamental breach, Duoyoupin AI Cloud Mall may close your account and terminate the provision of services to you.
9.2.3 Duoyoupin AI Cloud Mall may publish information about the above measures taken against your breach and other illegal information confirmed by effective legal documents from national administrative or judicial authorities on Duoyoupin AI Cloud Mall.
9.3.1 If your actions cause losses to Duoyoupin AI Cloud Mall and/or its affiliates, you shall fulfill compensation obligations in accordance with this Agreement. You shall compensate Duoyoupin AI Cloud Mall and/or its affiliates for the following losses (if any):
(a) Reasonable attorney fees, litigation costs, and necessary expenses for eliminating impacts;
(b) Fines, liquidated damages, or compensation paid externally due to administrative penalties, judicial judgments, or mediation within statutory standards;
(c) Loss of goodwill, loss of reasonably anticipated profits (such as loss of members, reduced expenditures, decreased consumption frequency, and reduced revenue of store operators). The specific amount may be calculated based on third-party independent reasonable analysis, Duoyoupin AI Cloud Mall's big data reasonable analysis, and other reasonable methods for calculating income and losses;
(d) Other losses suffered as a result.
9.3.2 If your actions cause third parties to assert rights against Duoyoupin AI Cloud Mall and/or its affiliates, Duoyoupin AI Cloud Mall and/or its affiliates may seek full recovery of all losses from you after fulfilling monetary payment obligations to third parties.
9.3.3 If Duoyoupin AI Cloud Mall's intentional or gross negligence causes losses to your interests, Duoyoupin AI Cloud Mall shall compensate you based on your direct actual losses.
9.4.1 If you provide employees or consultants of Duoyoupin AI Cloud Mall and/or its affiliates with benefits such as physical items, cash, cash equivalents, labor services, or travel that significantly exceed the scope of normal business negotiations, it may be deemed as commercial bribery. In such cases, Duoyoupin AI Cloud Mall may take corresponding actions in accordance with Duoyoupin AI Cloud Mall Rules and, after advance notice, terminate all cooperation with you and claim liquidated damages and/or compensation. The amount shall be based on the economic losses and goodwill losses suffered by Duoyoupin AI Cloud Mall due to your bribery.
9.4.2 If this Agreement is terminated by Duoyoupin AI Cloud Mall due to your serious breach, for the purpose of maintaining platform order and protecting the legitimate rights and interests of other users, Duoyoupin AI Cloud Mall and/or its affiliates may suspend or even terminate cooperation with you under other agreements and notify you through the valid notification methods specified in this Agreement.
9.4.3 If other agreements signed between Duoyoupin AI Cloud Mall and you, or agreements signed between Duoyoupin AI Cloud Mall and/or its affiliates and you, explicitly stipulate related handling of your cooperation under this Agreement, then for the purpose of maintaining platform order and protecting the legitimate rights and interests of other users, Duoyoupin AI Cloud Mall may suspend or even terminate the agreement upon receiving instructions and notify you through the valid notification methods specified in this Agreement.
10.1 Duoyoupin AI Cloud Mall may, in response to changes in national laws and regulations, as well as for the purpose of maintaining market order and protecting the legitimate rights and interests of users, amend this Agreement and supplemental agreements from time to time. The amended agreements and supplemental agreements (hereinafter referred to as "Amendment Matters") will be notified to you through statutory procedures and the valid notification methods specified in this Agreement.
10.2 If you do not agree to the Amendment Matters, you have the right to contact Duoyoupin AI Cloud Mall before the effective date of the Amendment Matters to provide feedback. If the feedback is adopted, Duoyoupin AI Cloud Mall will adjust the Amendment Matters at its discretion. If you still do not agree to the effective Amendment Matters, you should stop using Duoyoupin AI Cloud Mall services from the effective date of the Amendment Matters; the Amendment Matters shall not have effect on you. If you continue to use Duoyoupin AI Cloud Mall services after the Amendment Matters take effect, it will be deemed that you agree to the effective Amendment Matters.
When you register as a Duoyoupin AI Cloud Mall user and accept Duoyoupin AI Cloud Mall services, you shall provide true and valid contact information (including your email address, phone number, contact address, etc.). If your contact information changes, you have the obligation to update the relevant information in a timely manner and maintain a state where you can be effectively contacted.
Your member account generated during registration for logging in to Duoyoupin AI Cloud Mall to receive system messages, internal messages, and other instant information also serves as your valid contact information.
Duoyoupin AI Cloud Mall will send various notifications to one or some of the above contact methods. Such notifications may have a significant favorable or unfavorable impact on your rights and obligations. Please be sure to pay timely attention to them.
You have the right to receive commercial information such as product/service advertisements and promotional offers related to your interests through the mobile phone number or email address provided during registration. If you do not wish to receive such information, you have the right to unsubscribe through the corresponding opt-out function provided by Duoyoupin AI Cloud Mall.
11.2.1 Notifications sent by Duoyoupin AI Cloud Mall through the above contact methods, including written notifications sent electronically (such as announcements on Duoyoupin AI Cloud Mall, SMS messages to the phone number you provided, emails to the email address you provided, system messages and internal messages to your account), shall be deemed delivered upon successful sending. Written notifications sent in paper form shall be deemed delivered on the fifth natural day after being sent to the provided contact address.
11.2.2 For any disputes arising from transaction activities on Duoyoupin AI Cloud Mall, you agree that judicial authorities (including but not limited to people's courts) may serve legal documents (including but not limited to litigation documents) on you through modern communication methods such as SMS and email or by mail. The mobile phone number, email address, and other contact information designated by you for receiving legal documents shall be the contact information provided or updated by you during registration on Duoyoupin AI Cloud Mall. Service of legal documents by judicial authorities to the above contact methods shall be deemed as effective service. The mailing address designated by you shall be your legal contact address or the valid contact address you provided.
You agree that judicial authorities may use one or more of the above service methods to serve legal documents on you. If multiple methods are used, the time of service shall be based on the earliest method.
You agree that the above service methods apply to all stages of judicial proceedings, including but not limited to first instance, second instance, retrial, enforcement, and summary procedures.
You shall ensure that the contact information provided is accurate and valid and updated in real time. If legal documents cannot be served or are not served in a timely manner due to inaccurate contact information or failure to promptly notify changes, you shall bear the possible legal consequences arising therefrom.
12.1.1 You have the right to terminate this Agreement through any of the following means:
(a) Cancel your account through self-service on the website after meeting the account cancellation conditions required by Duoyoupin AI Cloud Mall;
(b) Stop using Duoyoupin AI Cloud Mall services and expressly refuse to accept Amendment Matters before they take effect;
(c) Expressly state that you no longer wish to use Duoyoupin AI Cloud Mall services and meet the termination conditions required by Duoyoupin AI Cloud Mall.
12.1.2 In the following circumstances, Duoyoupin AI Cloud Mall may notify you of the termination of this Agreement through the valid notification methods specified in this Agreement:
(a) Your real-name authentication identity is invalid, no longer legally existing, or cannot be effectively verified;
(b) You violate this Agreement, and Duoyoupin AI Cloud Mall terminates this Agreement in accordance with the breach provisions;
(c) You steal others' accounts, publish prohibited information, commit fraud, sell counterfeit goods, disrupt market order, or engage in improper competition. Duoyoupin AI Cloud Mall closes your account in accordance with Duoyoupin AI Cloud Mall Rules;
(d) In addition to the above circumstances, if you repeatedly violate Duoyoupin AI Cloud Mall Rules with serious circumstances, Duoyoupin AI Cloud Mall closes your account in accordance with Duoyoupin AI Cloud Mall Rules;
(e) Your account is reclaimed by Duoyoupin AI Cloud Mall in accordance with this Agreement;
(f) Duoyoupin AI Cloud Mall, based on reasonable grounds, believes that your actions may cause serious harm or legal liability to you, Duoyoupin AI Cloud Mall users, or other relevant parties;
(g) Other circumstances where services should be terminated.
12.2.1 After the termination of this Agreement, unless otherwise expressly provided by law, Duoyoupin AI Cloud Mall has no obligation to disclose any information in your account to you or any third party designated by you.
12.2.2 After the termination of this Agreement, Duoyoupin AI Cloud Mall still retains the following rights:
(a) Continue to retain the various types of information listed in Article 8 of this Agreement that you have retained on Duoyoupin AI Cloud Mall;
(b) For your past breaches, Duoyoupin AI Cloud Mall may still hold you liable for breach in accordance with this Agreement.
12.2.3 After the termination of this Agreement, for transaction orders generated during the term of this Agreement, Duoyoupin AI Cloud Mall may notify the counterparty and decide whether to close such transaction orders based on the counterparty's wishes. If the counterparty requests continued performance, you shall continue to perform this Agreement and the transaction orders and bear any losses or increased costs arising therefrom.
Duoyoupin AI Cloud Mall or third parties may provide links to other websites or resources on the World Wide Web. Since Duoyoupin AI Cloud Mall does not control such websites and resources, you understand and agree that Duoyoupin AI Cloud Mall is not responsible for the availability of such external websites or resources and does not endorse and is not responsible or liable for any content, advertising, products, services, or other materials on or available from such websites or resources. You further understand and agree that, unless expressly provided by law that Duoyoupin AI Cloud Mall should be liable, Duoyoupin AI Cloud Mall shall not be liable for any direct or indirect losses caused or claimed to be caused by the use of or reliance on any such content, advertising, products, services, or other materials obtained from such websites or resources.
14.1 The validity, interpretation, amendment, execution, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China. In the absence of relevant legal provisions, commercial practices and/or industry practices shall be referred to.
14.2 You and Duoyoupin AI Cloud Mall are independent contracting parties. This Agreement is not intended to create or establish any agency, partnership, joint venture, employment, or authorized relationship.
14.3 Unless otherwise agreed by both parties, you agree that Duoyoupin AI Cloud Mall has the right to transfer its rights and obligations under this Agreement, in whole or in part, due to business needs, and shall take reasonable means to notify you in advance through statutory procedures and the valid notification methods specified in this Agreement.
14.4 Any disputes arising from this Agreement or Duoyoupin AI Cloud Mall services shall be resolved through negotiation between Duoyoupin AI Cloud Mall and you. If negotiation fails, either party may file a lawsuit with the people's court having jurisdiction over the location of Duoyoupin AI Cloud Mall.
14.5 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be revoked, and the remaining provisions shall be complied with and enforced. The headings are for convenience only and do not in any way define, limit, interpret, or describe the scope or extent of such provisions.
